Purchase Agreement

License Fee: The License Fee identified above shall be deemed fully earned by Enterprise Center (EC) upon receipt and shall be non-refundable, unless the EC event is canceled.

Liability / Indemnity Provision: Licensee shall be responsible for all damage caused by Licensee or Licensee’s guests to the Facility or to the Rental Suite, or to any fixtures, furnishings, equipment or other property in either the Facility or the Rental Suite. Licensee agrees to indemnify and hold harmless EC, and its affiliates and agents, from and against any and all claims, judgments, expenses, damages and liabilities (including attorneys’ fees) of, to or from any party, arising out of or relating to (a) Licensee’s use of the Rental Suite, (b) Licensee’s negligent or willful conduct, (c) the negligent or willful conduct of any of Licensee’s guests, or (d) any breach or alleged breach by Licensee of any of its covenants, representations and warranties herein.

Attorneys’ Fees: Licensee shall pay all costs and expenses, including without limitation attorneys’ fees, incurred by EC to enforce the terms of
the agreement and in conjunction with the above indemnity provision.

Rules, Regulations and Policies: Licensee and Licensee’s guests shall comply with all rules, regulations and policies adopted from time to time by EC applicable generally to persons attending events at the Facility and to the use and occupation of Rental Suites within the Facility. All Enterprise Center Rental Suites are non-smoking areas.

Re-Sale of Tickets or Suite: Licensee hereby represents and warrants that it is licensing the Rental Suites solely for its use and for the use of its guests, and not for resale.
